Welcome to HoundDog Dev. By accessing or using our services, products, or website, you agree to be bound by the following Terms and Conditions. If you do not agree, please do not use our services.
1. Services Overview
HoundDog Dev provides full-service digital development, including software development, automation, cloud infrastructure, design, marketing, and consulting services. All services are subject to these terms and any applicable agreements or work orders.
2. Confidentiality & Non-Disclosure
By engaging with HoundDog Dev, you agree to the following confidentiality terms:
- Both parties shall treat all proprietary information (e.g., business plans, code, data, login credentials, and client information) as confidential.
- Neither party shall disclose confidential information to any third party without prior written consent.
- Obligations of confidentiality shall survive the termination of any project or agreement.
If a separate NDA (Non-Disclosure Agreement) is signed, those terms shall take precedence.
3. Intellectual Property
All work product, designs, code, and deliverables created by HoundDog Dev remain the property of HoundDog Dev until full payment is received. Upon full payment, ownership transfers to the client unless otherwise agreed in writing.
Open-source or third-party libraries used within a project remain licensed under their original terms.
4. Subscription Services
We offer various subscription-based services (e.g., platform access, hosting, support, and maintenance):
- Billing: Subscriptions are billed monthly or annually in advance. All fees are non-refundable.
- Auto-Renewal: Subscriptions automatically renew unless canceled prior to the renewal date.
- Cancellation: You may cancel anytime via your dashboard or by written notice at least 7 days before the renewal date.
- Changes: HoundDog Dev may update subscription pricing or features with 30 days’ prior notice.
5. Client Responsibilities
Clients agree to provide timely access to necessary assets, materials, and feedback. Delays in feedback or approval may affect delivery timelines.
6. Limitation of Liability
HoundDog Dev shall not be liable for any indirect, incidental, or consequential damages. Our maximum liability is limited to the amount paid for services rendered in the past 60 days.
7. Payment Terms
Unless otherwise specified in a written agreement:
- Payment is due upon receipt of invoice.
- Late payments may incur a 5% monthly fee.
- Work may be paused on overdue accounts until payments are resolved.
8. Termination
Either party may terminate a service agreement with written notice. Upon termination, all unpaid work completed up to the termination date becomes immediately payable.
9. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of law provisions.
10. Modifications
HoundDog Dev reserves the right to update or modify these Terms at any time. Continued use of our services after changes constitutes acceptance of the new terms.
